What do you mean by legal structure of Counterparty? It’s an open-source protocol, not a company or legal entity.

Yes there are developers who decided to work on it, but anyone can participate. It is like Bitcoin.

I don’t think that Counterparty is currently a legal entity. There is a Counterparty Foundation in the works however, which is likely to be a legal entity.
